Terms of Service

By accessing or using the Torevez service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including brokerages and their authorized personnel.

Torevez is a carrier vetting and audit documentation tool for licensed freight brokers. The Service allows subscribers to run carrier checks using their own third-party data subscriptions (including SaferWatch), receive verdicts on carrier eligibility, and generate timestamped, locked PDF audit records of vetting decisions.

Torevez is a decision-support tool. It surfaces carrier data to assist your vetting process. It does not make placement decisions on your behalf, does not constitute legal advice, and does not guarantee that use of the Service will protect you from liability in any specific legal proceeding. The final placement decision, and all associated responsibility, remains with the licensed broker.

The Service relies on data accessed through your own third-party subscriptions, including SaferWatch. You are responsible for maintaining active, valid subscriptions to any third-party services required to use Torevez. Torevez does not resell, sublicense, or provide access to SaferWatch or any other third-party data provider.

The accuracy, completeness, and timeliness of carrier data depends on the underlying data sources. Torevez is not responsible for errors, omissions, or delays in third-party data.

The Service is intended for use by licensed freight brokers and their authorized employees. By using the Service, you represent that you hold a valid freight broker license issued by the Federal Motor Carrier Safety Administration (FMCSA) or are acting on behalf of a licensed brokerage.

Subscription terms, pricing, and billing frequency will be set forth in your order or subscription agreement. Founding-cohort pricing is locked at the rate agreed at signup and will not increase for the duration of the founding-cohort agreement.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Share your account credentials with unauthorized parties
• Attempt to reverse-engineer, decompile, or extract the Service's proprietary logic
• Use the Service to produce records you know to be inaccurate or misleading
• Access the Service using credentials belonging to another subscriber

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TOREVEZ DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF DEFECTS. TOREVEZ MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY AUDIT RECORDS PRODUCED WILL BE SUFFICIENT FOR ANY LEGAL PURPOSE.

TOREVEZ EXPRESSLY DISCLAIMS ANY WARRANTY THAT USE OF THE SERVICE CONSTITUTES LEGAL COMPLIANCE OR PROTECTS AGAINST LIABILITY IN ANY LEGAL PROCEEDING.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOREVEZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL TOREVEZ'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. [PENDING LEGAL REVIEW]

You agree to indemnify and hold harmless Torevez and its founder from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law. [PENDING LEGAL REVIEW]

The Service, including its software, logic, and interface, is owned by Torevez and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription term.

Audit PDF records generated by the Service on your behalf are your records. Torevez retains no ownership over your brokerage's vetting records.

Torevez may update these Terms from time to time. Founding-cohort subscribers will receive advance notice of any material changes. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the new Terms.
